Proposed Bylaw Amendments: Vote on September 3!

NOTICE: PRSA Nashville will hold a membership vote on proposed bylaw amendments on Thursday, Sept. 3. Join us for a briefing on proposed amendments to our chapter’s bylaws. After the briefing, we’ll hold a vote on proposed changes to our governing framework.

At a glance: This year, PRSA Nashville’s Board of Directors prioritized a comprehensive bylaws review. Adopted in 2011, our current bylaws provide the foundation for how PRSA Nashville is governed, elects leaders, and serves its members. Periodic updates help ensure that our bylaws continue to meet the chapter’s needs.

Because our bylaws require approval by the chapter’s voting membership, every member has an opportunity to help shape the chapter’s future.

The process: While our bylaws review process was under way, PRSA National released an updated model bylaws template for local chapters to consider implementing. PRSA Nashville’s officers, with input from several past chapter presidents and PRSA National’s Governance Committee, used that template as a foundation while making limited, targeted changes to reflect the needs of PRSA Nashville.

PRSA Nashville’s Board of Directors and PRSA National’s Governance Committee have recommended these updates. Now, it’s time for our members to vote!

Summary of Proposed Amendments: 

  • One-year terms for most elected Board positions, while maintaining a two-year Treasurer term. (Rationale: Makes it easier to serve in a board role.)
  • Term limits of two consecutive terms in the same Board position. (Rationale: Provides more opportunities to serve and in more positions, helping to cultivate a leadership pipeline.)
  • Flexibility for electronic voting for Board elections and membership votes, when necessary. (Rationale: Provides flexibility and helps encourage participation in key membership votes.)
  • Ability for the Executive Committee (board officers) to act on chapter business between regular Board meetings with established limits. (Rationale: Provides flexibility and timely action on pressing matters on a limited basis.)

  • Hold the required membership vote at 9 a.m.
